IMPORTANT: THESE TERMS OF USE CONTAIN A MANDATORY ARBITRATION CLAUSE

Section 18 mandates arbitration on an individual basis to resolve disputes, meaning you and PromedRx each waive the right to sue in court or join class actions.

Defined Terms

"PromedRx" means PromedRx, LLC., ("PromedRx"). "We," "us," and "our" refer to PromedRx, while "PromedRx Entities" include PromedRx, its affiliates, suppliers, vendors, contractors, licensors, and their employees and agents.

"PromedRx Service" refers to all products and services offered through PromedRx’s website(s), portal(s), or mobile application(s) ("App").

"Providers" are the healthcare professionals and entities offering or scheduling services via the PromedRx Service.

"You" or "your" refers to the user or patient using the PromedRx Service.

Additional terms used in this document include:

Content: All descriptions of PromedRx Services, comments, messages, Feedback, reviews, suggestions, questions, submissions, images, videos, and other media made available by PromedRx.
Feedback: Ideas, concepts, and know-how shared by you about PromedRx Services.
Make available: Posting, transmitting, uploading, distributing, displaying, or submitting Content through the PromedRx Service.

Your Acknowledgment

As a condition of using the PromedRx Service, you agree to:

Fully read and understand these Terms of Use.
Acknowledge that these Terms supplement any agreement with a Provider.
Accept that using the PromedRx Service does not guarantee eligibility for treatment, as Providers retain the sole discretion to assess eligibility.
Understand that the PromedRx Service may not be reimbursable by insurance or other payors.If seeking services on behalf of another, your acceptance binds them to these terms.

Conditions for Use

By using the PromedRx Service, you represent that:

You are legally authorized to agree to these Terms and are at least 15 years old or are accompanied by a parent or guardian who can give informed consent.
You are the patient receiving services or the Patient’s legal representative.
If you represent another, you will keep their information confidential.
You are located in the state in which you are requesting the service.

You agree to:

Follow all laws and regulations when using the service.
Maintain the security of your account.
Report any unauthorized access to PromedRx immediately.
Use only legally obtained information in connection with the PromedRx Service.

Data Privacy & Security

Our Notice of Privacy Practices details how we use and protect your information. For questions, contact our HIPAA Compliance Officer as listed in the Privacy Notice. You are responsible for maintaining the security of your account.

Use and Disclosure of Personal Information

PromedRx may use your contact information to share updates and relevant information. You can opt out of these communications via the unsubscribe link. Protected health information will be used according to our Privacy Practices.

Intellectual Property; Access Grant; Restrictions

All PromedRx technology, services, and Content are owned by PromedRx. You receive a non-exclusive, non-transferable right to use the service solely for personal purposes.

Feedback provided by you grants PromedRx a license to use and share it for any purpose. Restrictions apply to commercial exploitation, alteration, or unauthorized disclosure of the service or its content.

Mobile Application

Accessing the PromedRx Service via the App may require permissions on your device, such as access to location services and camera. The app’s functionality may be limited without these permissions.

Billing & Payment

You are responsible for timely payments for services used. Payment obligations are non-cancelable, and prices are confidential. A missed appointment fee may apply for no-shows or late cancellations.

Termination & Updates

Failure to meet payment obligations may result in termination of access. PromedRx may update these Terms without prior notice, with any changes posted on our site. Continued use implies acceptance of the updates.

Disclaimer of Warranties

PromedRx Services are provided on an "as is" basis. PromedRx disclaims all warranties and does not guarantee uninterrupted service.

Limitations on Liability

PromedRx is not liable for indirect, special, or consequential damages arising from your use of the service. Total liability is capped at $100 or the amount paid in the prior month, whichever is lower.

Dispute Resolution & Arbitration

Disputes not resolved through good faith negotiation will be settled by binding arbitration, except where small claims court applies. Arbitration follows JAMS rules and limits discovery and review.

Other Important Terms

These Terms form the entire agreement between you and PromedRx. If any part is held invalid, the rest remains in effect. By accepting, you agree to abide by these Terms and any future updates.

Electronic Signature

By using the PromedRx Service, you certify that you have read, understood, and agree to these Terms, and are legally authorized to do so. Compliance with these Terms is a condition for accessing PromedRx Services.
